Watt terms of service
Version 1.3. Effective October 18, 2026. (Version 1.1 adds the emailed code your compliance reviewer uses to approve, section 11. Version 1.2 adds optional two-step sign-in, section 4. Version 1.3 adds the optional monthly copy to your firm's archive, section 11.)
These terms are an agreement between you and Amplify for Advisors LLC, a Colorado limited liability company ("Amplify for Advisors", "we", "us", "our"). They cover your use of Watt, our marketing software for financial professionals. That includes the Watt dashboard, the connector for AI apps, Watt's public tools (such as the instant demo and the findability score), reservations, and the emails we send about Watt (together, "Watt").
"You" means the person who accepts these terms and, if you accept them for a firm or other business, that business too.
Please read section 19. It says disputes are decided by an arbitrator, not a judge or jury, and only one by one, not in a class action.
1. What Watt is, and what it isn't
Watt is software. It drafts marketing for you: posts, emails, newsletters, articles, guides, referral notes, client visuals and graphics, in your voice and your brand. It also runs automated checks that flag wording that often causes problems under advertising rules.
- You approve everything. Watt doesn't publish, post or send anything to the public on its own. You decide what's used. You post or send it yourself, or, if you connect LinkedIn or another posting service, Watt sends only posts you've approved, exactly as approved, to the accounts and at the times you choose. If you connect an email tool such as Mailchimp, Watt puts approved emails into it as unsent drafts, and you send them (section 12).
- We aren't your investment adviser, broker-dealer or insurance producer. Amplify for Advisors isn't registered as any of these, and Watt doesn't give investment, tax, legal, insurance or accounting advice to you or your clients. Drafts are general marketing and education material for you to review, edit and adopt as your own.
- We aren't your promoter or solicitor. We don't refer clients to you, endorse you, or speak about you to the public. We aren't paid based on your clients, your assets or your sales.
- We aren't your compliance department or your lawyer. Watt's checks are aids (section 8). Approving a draft in Watt is your own decision. It isn't your firm's approval, a principal's approval, or a review by your chief compliance officer, your broker-dealer, an insurance carrier or a regulator.
- We aren't your recordkeeper. Watt keeps copies of what you approve for your reference. They aren't your official books and records (section 11).
- We aren't your fiduciary or agent. Nothing in these terms creates a fiduciary, agency, partnership or employment relationship.
2. Who can use Watt
Watt is for businesses and professionals in the United States, for business use. It isn't for personal, family or household use. By using Watt you confirm that:
- you're at least 18
- you're using Watt for your business or your firm's business, not as a consumer
- you're in the United States
- the account details you give us are accurate, and you'll keep them current
- if your firm requires approval to use an outside marketing tool, you have it
Financial professionals of every kind can use Watt, whether or not they're registered and however they're registered: for example, investment adviser firms and their representatives, broker-dealer representatives, dual registrants, insurance agents, accountants and financial planners. Watt doesn't check your registration and doesn't depend on it.
3. Accepting these terms
You accept these terms by ticking the box that says you agree to them, at checkout or reservation, or before you first use the dashboard. We record which version you accepted and when. If you accept for a firm, you confirm you're authorized to bind it.
You agree that these terms, notices, receipts and other records can be given to you electronically, and that your electronic acceptance is as binding as a signature. You can save or print these terms at any time from the link where you accepted them.
4. Your account
You sign in with a single-use link sent to your email. Anyone who can read your email can sign in as you, so keep your email account secure, or turn on two-step sign-in on the Account page so Watt also asks for a code from an authenticator app on your phone. If you turn it on, keep your recovery codes safe: they're the way back in if you lose your phone. You're responsible for what happens in your account. Tell us right away at watt@amplifyforadvisors.ai if you think someone else got in. You can sign out of every device from the Account page.
Each account is for one person. Don't share your sign-in.
5. Your responsibilities
5.1 You review and you decide
Read and check everything Watt drafts before you use it, including every fact, number, date, rule, tax figure, name, link and image. You decide whether, where and how to use it. When you post, send or publish anything Watt drafted, it is your own communication, and you're responsible for it as if you'd written it yourself.
5.2 You follow the rules that apply to you
You're solely responsible for following whatever laws, rules and policies apply to you and your marketing. For example, these may include rules of the SEC, FINRA, state securities or insurance regulators, the CFP Board, your broker-dealer, your insurance carriers or marketing organizations, and your own firm. They also include general laws such as advertising, email, privacy and intellectual property laws.
Those rules differ by registration, firm and state, and they change. Watt isn't designed around any one of them. That means you, your firm, and your chief compliance officer or supervising principal are responsible for:
- getting every review, approval or pre-approval your firm or the rules require before you use anything Watt drafts
- any filing with a regulator
- supervising your communications
- keeping your records, for as long as the rules require
- any disclosure you must include, including whether and how to say that AI helped write something
Each time you post, send or publish something Watt drafted, you confirm you've obtained whatever approvals your firm and the rules require.
5.3 No client information
Don't enter information about your clients or prospects into Watt. That means no names, contact details, account numbers, balances, holdings, Social Security numbers, health details, or anything else that identifies them or their finances. Don't upload photos of clients. Watt is built not to need this, and it isn't designed to protect it the way laws about client information require. If you enter it anyway, you're responsible for that.
5.4 Content you give us
You must have the rights to anything you upload or paste into Watt, such as logos, photos, writing, stories, disclosures and your Form CRS or Form ADV. That includes permission from anyone who appears in a photo you upload. Before you add photos, Watt asks you to confirm that you took them or have the rights to use them in marketing, and records when you did. Watt may point out a copyright or stock-agency credit it finds in a photo's file, but it can't tell whether you own or licensed a photo, and that stays your responsibility. Stories you share must be true, or clearly presented as composites or hypotheticals in what you publish.
5.5 Copyright complaints
If you believe something in Watt, or something Watt hosts or posts for an advisor, infringes your copyright, send a notice to our designated copyright agent:
Copyright Agent, Amplify for Advisors LLC 110 16th St, Ste 1460, Denver, CO 80202 (402) 598-0225 watt@amplifyforadvisors.ai (subject line "Copyright notice")
Your notice must include, as the Digital Millennium Copyright Act (17 U.S.C. § 512) requires: your physical or electronic signature; the work you say is infringed; the material you say infringes and where it is (a link or enough detail to find it); your contact details; a statement that you believe in good faith the use isn't authorized by the owner, its agent or the law; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner.
When we receive a complete notice, we remove or disable the material, including any copy Watt hosts (such as a photo or email header image), and tell the advisor who added it. Watt can't remove a post from LinkedIn, Facebook or another service; the advisor or that service does that.
If your material was removed and you believe that was a mistake, you can send a counter-notice to the same address with: your signature; the material removed and where it was; a statement, under penalty of perjury, that you believe in good faith it was removed by mistake or misidentification; your name, address and phone number; and your consent to the jurisdiction of the federal court for your address (or, outside the U.S., any district where we can be found) and to accept service from the person who sent the notice. We'll forward it to that person and may restore the material in 10 to 14 business days unless they tell us they've filed a court action.
We end the accounts of users who repeatedly infringe others' copyrights, in appropriate circumstances. A notice that is knowingly false can make the sender liable for damages.
6. Acceptable use
Don't use Watt to:
- break any law or rule, or help anyone else do so
- make false or misleading claims, including promises of investment results, made-up testimonials, reviews or credentials, or statements that a person in a stock photo is your client or endorses you
- give individualized investment, tax or legal advice to a specific person
- send spam, or send email to people who haven't agreed to hear from you where the law requires that
- impersonate someone else, or use another firm's name, logo or materials without permission
- present a Watt flag, check or findability score as an approval, rating, certification or endorsement by us or anyone else
- upload malware, or try to get into other accounts, our systems or our providers' systems
- overload Watt, get around its usage limits, or use bots or scripts to run it except through the connector we provide
- copy, scrape or reverse-engineer Watt, or use it or its outputs to build or train a competing product or AI model
- resell, sublicense or share Watt with people outside your account without our written permission
7. AI
Watt uses AI models from outside providers to write drafts, describe photos and read public web pages. AI makes mistakes. It can get facts, numbers, rules and dates wrong, miss recent changes, and produce text similar to what other users get. Don't rely on a draft until you've checked it.
What you enter is sent to our AI provider to create your drafts, as the privacy policy explains. We don't use your content to train AI models, and our AI provider's commercial terms say it doesn't train on it either.
8. Compliance checks and other aids
Watt flags phrases that often cause problems under advertising rules, checks that a disclosure line is present, and gives other prompts, scores and suggestions. These are aids to your own review, nothing more.
- They're built on general patterns, not on your registration, your firm's policies or your state's rules.
- They can miss problems, and they can flag things that are fine.
- A draft with no flags isn't approved, cleared or "compliant".
- A disclosure line Watt drafts is a starting point. It's labeled as a draft until you confirm your compliance team approved it.
- You choose where your disclosure goes on social posts: on the image, in the post's text, or (if you confirm your compliance policy allows it) not on social posts at all, and whether your logo is on the image. Watt keeps the disclosure on a post that mentions returns, performance, testimonials, reviews, rankings or awards, but its check can miss one. If you confirm your firm's compliance policy doesn't require a disclosure line at all, Watt leaves it off everything it drafts for you (broker-dealer representatives can't choose this) and keeps the date you confirmed it. Whether a post needs a disclosure, and what it must say, is your firm's decision.
- The findability score is an estimate based on what Watt could see on public websites and in searches at that moment. It isn't a rating of you or your firm.
9. Who owns what
- Yours. As between you and us, you own what you give us ("your content") and the drafts and graphics Watt makes for you ("outputs"), to the extent the law allows ownership of them. Some purely AI-generated material may not be protected by copyright for anyone. We don't promise that outputs are unique, protectable or free of third-party rights.
- Your license to use what Watt makes. Graphics and documents Watt makes for you use our layouts, templates and designs. We give you a non-exclusive, worldwide, royalty-free license to use, copy, edit and publish them in your own marketing and client communications. The license doesn't end when your subscription or account ends, so anything you've already published or saved can stay in use. It doesn't let you extract our templates or layouts to sell, share or reuse as templates.
- The license you give us. You let us host, copy, process, transmit and display your content and outputs only to provide Watt to you, keep it secure, fix problems and comply with the law. That includes sending it to our service providers for those purposes. We don't use your content to train AI models, and we don't show it to other users.
- Ours. We and our licensors own Watt itself: its software, layouts, templates, designs, checks, prompts, written guidance, and the Watt and Amplify for Advisors names and brands. Except for the licenses in these terms, you get no rights in them.
- Stock photos. Stock photos Watt suggests come from Pexels under the Pexels license. Pexels doesn't promise that the people or property shown gave releases, so don't use a stock photo in a way that suggests a person in it is your client, endorses you, or is shown in a bad light, and don't use any logos or trademarks that appear in one.
- Photos Watt makes. Some photos are made for your posts with an AI image model (Google). Nobody in them is a real person, and they're shared across Watt: a photo you don't post may be offered to another user, and once you post one, no one else is offered it. Don't present a made photo as a real client, event or place.
- Usage statistics. We may create aggregated, de-identified statistics from how Watt is used (for example, average findability scores, or how many drafts are approved without edits) and use them for any purpose, including benchmarks we publish. They will never identify you, your firm or your content.
- Feedback. If you send ideas or suggestions, we may use them freely, without owing you anything.
10. Fees, renewal and cancellation
10.1 If Watt comes with your Amplify for Advisors membership
Watt is included while your membership is active. Your membership's own terms govern its billing, renewal, cancellation and refunds. When your membership ends, access to Watt through it ends too. You can then subscribe to Watt on its own.
10.2 Watt on its own
- Free trial. A new account gets 7 days of Watt free, with no card. When the trial ends, Watt stops writing for you until you choose a plan; nothing is charged, and your work stays in your account (you can download or delete it any time). There's one free trial per advisor: we check the email address, the website you set Watt up from (on a large firm's or a site builder's domain, your own page) and the LinkedIn profile you connect against earlier trials. An email address, a LinkedIn profile or your page on a large firm's site covers one trial, and a firm's own website covers up to three, so a small team can each try Watt. A trial ends right away if any of them has already had its trials. After a trial ends, we may offer one more free week, once per account, on the same terms. We keep one-way fingerprints of those details for this purpose (see the privacy policy). We may limit how much Watt writes during a trial, change the trial for new accounts, or end trials that misuse it.
- Price. $399 a month, or $3,990 a year, plus any applicable taxes. There's no contract beyond the period you pay for and no setup fee.
- Billing. You pay in advance for each month or year, through our payment processor, Stripe.
- Automatic renewal. Your subscription renews automatically for another period of the same length, at the then-current price, and Stripe charges the card on file on each renewal date, until you cancel. By subscribing, you authorize these recurring charges.
- Annual reminder. We'll email you 30 days before an annual plan renews, with the date, the price and how to cancel.
- Cancelling. You can cancel any time online: on the Account page, press "Cancel my plan" and confirm. You can also cancel in Stripe's billing portal ("Manage billing"), or email watt@amplifyforadvisors.ai. Cancelling stops the next renewal. It takes effect at the end of the period you've already paid for, and you keep access until then.
- Refunds. We don't refund or credit partial periods, unused time or unused features, unless the law requires it or section 13, 14.4 or 20 says otherwise. If Watt isn't working for you, email watt@amplifyforadvisors.ai; we may give a refund or credit at our discretion, and doing so once doesn't commit us to doing it again.
- Price changes. We'll email you at least 30 days before a price change applies to you. The new price starts at your next renewal after that notice. If you don't want it, cancel before then.
- Failed payments. If a charge fails, Stripe will retry it and we'll let you know. If it still isn't paid, we may suspend your access until it is.
- Taxes. Prices don't include sales, use or similar taxes. Where we're required to collect them, they're added to your bill. You're responsible for any taxes that apply to your purchase, other than taxes on our income.
- Disputed charges. If you think a charge is wrong, please email us first. We'll look into it promptly.
10.3 Reservations before accounts open
You can reserve Watt before your account opens. When you reserve:
- Stripe saves your card. Nothing is charged.
- When your account opens, we email you. Your first charge is 7 days after your account opens, on the date in that email, so you can try Watt and cancel before you pay. We'll also email you a reminder about 2 days before that first charge.
- You can cancel a reservation any time before that first charge, and you pay nothing. Email watt@amplifyforadvisors.ai, or cancel on the Account page once your account is open.
- After the first charge, your reservation becomes a subscription under section 10.2. A reservation's 7 days before the first charge take the place of the free trial.
- We may cancel a reservation at any time, for example if we change our launch plans. If we do, we'll tell you and remove your card, and you owe nothing.
11. Approved copies and records
When you approve a draft, Watt saves a copy: exactly what it said, who approved it and when. A saved copy can't be changed.
- For your reference. These copies help you and your compliance team see what you approved. They are not your firm's official books and records under any rule (for example, SEC Rule 204-2, Exchange Act Rule 17a-4, FINRA Rule 4511, or state securities or insurance rules). Watt doesn't meet those rules' requirements, and we don't act as your recordkeeper or as a third party holding records for you.
- Your records are yours to keep. Keep your records the way your firm and the rules require. You can download your approved copies at any time as a ZIP (text, who approved it and when, graphics and any guide) to file in your firm's own records system.
- No set retention. Watt keeps copies only while your account exists. Deleting your account deletes them, and we keep nothing beyond the short backup window in the privacy policy.
- Reviews in Watt. If your compliance reviewer approves a draft through Watt's review link, the name they typed, the email address the link went to, the time and whether the draft (or your disclosure line or brand) changed afterwards are kept with your copy. To approve, the reviewer types a code Watt emails to that address, so the copy shows the approval came from someone who can read that inbox. Watt doesn't check who that person is beyond that, and asking for changes needs no code. That's a convenience for your reference too: your firm's own review process and records still govern.
- Monthly archive copy. If you give Watt your firm's archive address on the Approved Copies page, Watt emails that address, early each month, the copies you approved the month before and that month's activity log. Nothing is sent in a month with nothing approved, and you can change or stop it any time. It's a copy for your firm's own archive: Watt still isn't your recordkeeper, and your firm decides whether that archive meets its rules.
- What was posted. Watt saves what you approved. For posts Watt sends for you, it also records when each went out and the service's link to it. Everything else, you post, so Watt doesn't know what was actually posted or sent. Either way, capture your live posts and emails with your firm's own archiving tools.
12. Other services
Watt works with other services. Each has its own terms, and we aren't responsible for them or for what they do.
- AI apps. If you connect Watt to your own AI app (such as Claude or ChatGPT), what passes through that app is handled under your agreement with its provider.
- Posting services. If you connect LinkedIn or another posting or scheduling service, Watt will send it only content you've approved, for the accounts and times you choose, and only after you press Post now or schedule it. You're responsible for those accounts and for what's posted, including whether your firm allows posting through outside tools. Posting can fail, be delayed or be changed by the service, so check that it posted as you expected. Watt records when each post went out, for your reference (section 11). Connections expire under the service's own rules (LinkedIn's last 60 days), and scheduled posts can't go out while a connection is expired.
- Email tools. If you connect Mailchimp, Kit or another email tool, Watt puts only emails you've approved into it, exactly as approved, as unsent drafts, and only when you ask. Watt never sends them and never reads your contacts. You choose who gets each email and send it from your own tool, and you're responsible for your list, your consent to email the people on it, and your tool's own rules.
- Your own tools. Files you download from Watt (for example, a website kit for your web person, or email you paste into your email tool) leave Watt's control once you have them.
- Payments. Payments and saved cards are handled by Stripe under its terms. We never see your full card number.
13. Early access and beta features
Watt is new. Some features may be labeled early access, beta, preview or similar, and Watt as a whole may change quickly. Those features:
- may change, be limited or be removed at any time
- may have bugs or be unavailable
- are provided as is, with no commitments about how they work, and no service levels
If we share anything about features that aren't public yet, please keep it confidential.
We may add, change or remove features of Watt. If we remove something central to what you paid for during a paid period, you may cancel and we'll refund the unused full months of that period.
14. Suspension and ending
14.1 You can leave any time
Cancel your subscription as described in section 10. You can delete your account at any time on the Account page. Watt offers you a ZIP of everything first. Deleting removes your data as the privacy policy describes, and it can't be undone.
14.2 Suspension
We may suspend all or part of your access, right away if needed, if:
- you don't pay
- you break section 5.3 or section 6
- your use threatens the security, integrity or availability of Watt or other users
- we're required to by law or a regulator
We'll limit a suspension to what's reasonably needed, tell you why where we can, and restore access once the problem is fixed.
14.3 Ending your account
We may end your account if you seriously or repeatedly break these terms, or if the law requires it. Where we reasonably can, we'll tell you first and give you at least 14 days to download your approved copies and your data.
If your paid access ends but you don't delete your account, your data stays until you delete it. We may delete an account that has had no paid access and no sign-in for 12 months, after emailing you at least 30 days' notice.
14.4 If we stop offering Watt
We'll give you at least 30 days' notice, so you can download everything, and refund any prepaid fees for the unused full months.
14.5 What continues
Sections 5, 6, 9 (except the license you give us, which ends when your content is deleted), 11, and 15 to 21 continue after your account ends, along with any amounts you owe.
15. Security and incident notice
We use reasonable administrative, technical and physical safeguards to protect your account data, as described in the privacy policy. No system is perfectly secure.
If we become aware of a security incident that has led, or is reasonably likely to have led, to unauthorized access to your account data, we'll notify you by email within 72 hours after we become aware of it. We'll tell you what we know (what happened, what data was involved, and what we're doing), and update you as we learn more. This helps you and your firm meet your own obligations, including any oversight of service providers. Notifying you isn't an admission of fault.
We don't intend to hold information about your clients (section 5.3), so we don't act as your service provider for client information under Regulation S-P or similar laws. We give this notice anyway. If your firm needs a data processing addendum, it's available on request.
If a regulator, your firm or someone with legal authority asks us for information about your account, we'll respond only as the law requires, and we'll tell you first where we're allowed to.
16. Disclaimers
To the fullest extent the law allows, Watt and everything it produces are provided "as is" and "as available", with all faults. We disclaim all warranties and conditions, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and anything arising from a course of dealing or usage of trade.
In particular, we don't promise that:
- Watt will be uninterrupted, secure or error-free
- any draft, graphic, check, score or suggestion will be accurate, complete, current, original, or suitable for you
- any output will meet any law, rule or firm policy that applies to you, or will be approved by your firm or anyone else
- the checks will catch every problem
- your marketing will get any particular result, such as reach, leads, clients or revenue
Figures in our marketing that come from research describe advisors in general (for example, "advisors who post daily..."). They aren't promises about what Watt will do for you.
No reliance. You agree you're not relying on any statement, promise or description about Watt that isn't written in these terms.
17. Limits on liability
These limits are a basic part of our deal. The price of Watt reflects them.
- No indirect damages. To the fullest extent the law allows, neither you nor we will be liable to the other for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, clients, goodwill or data, or business interruption, even if told they were possible. For us, this includes any fines, penalties, sanctions, restitution, or costs of regulatory exams, inquiries or proceedings arising from your marketing or your use of Watt.
- Cap. To the fullest extent the law allows, our total liability for all claims relating to Watt or these terms, together, is limited to the greater of (a) the amount you paid us for Watt in the 12 months before the event that gave rise to the claim (or, if Watt came with your membership, the membership fees you paid in those 12 months), and (b) US$100.
- What these limits don't cover. They don't limit liability for gross negligence, willful misconduct or fraud, or any liability the law doesn't allow to be limited. The exclusion of indirect damages doesn't limit what you owe us in fees, your obligations under section 18, or your liability for breaking section 6 or infringing our rights.
Some places don't allow some of these limits, so some may not apply to you. Where that's so, they apply as far as the law allows.
18. Your responsibility to us
You'll defend, indemnify and hold harmless Amplify for Advisors and its owners, officers, employees and contractors from any third-party claim, demand, regulatory inquiry, examination or proceeding, and the resulting losses, damages, fines, penalties, settlements, and reasonable costs and lawyers' fees, arising from:
- anything you post, send, publish or otherwise use that Watt drafted or that you created with Watt
- your content
- your breach of these terms
- your violation of any law, rule or firm policy that applies to you, including advertising, supervision, approval, filing, recordkeeping and privacy obligations
- any dispute between you and your firm, your clients, your prospects or a regulator
This doesn't apply to the extent a claim is caused by our gross negligence, willful misconduct or fraud, or by a claim that our own templates or layouts (not your content or your edits) infringe someone's intellectual property.
We'll tell you promptly about a claim (a delay only matters if it actually prejudices you), let you control the defense with counsel reasonably acceptable to us, and cooperate at your expense. You won't settle a claim in a way that admits fault for us or binds us to anything without our written consent. We may take part with our own counsel at our own cost.
19. Disputes: arbitration and no class actions
Please read this section carefully. It affects your rights.
- Talk to us first. Before starting any claim, send a written description of the dispute and what you want to watt@amplifyforadvisors.ai (or we'll send ours to your account email). We'll both try in good faith to resolve it within 30 days.
- Binding arbitration. If it isn't resolved, any dispute, claim or controversy arising out of or relating to Watt or these terms (including whether this section applies) will be decided by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator. The seat of arbitration is Denver, Colorado. The arbitrator may hold hearings by video or phone, and claims under $25,000 will be decided on written submissions unless the arbitrator decides a hearing is needed. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.
- Costs. Fees are paid under the AAA's rules, and each side pays its own lawyers, unless the arbitrator awards otherwise under applicable law. If you bring a claim for less than $10,000, we'll pay any AAA filing, administration and arbitrator fees beyond what it would cost you to file in court.
- Small claims. Either of us may bring an individual claim in small claims court instead, if it qualifies.
- Court relief for misuse. Either of us may ask a court for an injunction to stop infringement or misuse of intellectual property or of Watt, or unauthorized access to systems.
- No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine claims of more than one customer or award relief on a class-wide basis. If this waiver is found unenforceable for a claim, that claim (and only that claim) must be decided in court, and not in arbitration.
- No jury. To the extent the law allows, you and we each waive any right to a jury trial.
- Time limit. To the extent the law allows, any claim must be started within one year after it arises, or it's barred.
- Courts. For anything allowed to go to court under these terms, the state and federal courts located in Denver, Colorado have exclusive jurisdiction, and you and we consent to them.
20. Changes to these terms
We may update these terms. For a material change, we'll tell you by email or in Watt at least 30 days before it takes effect. If you keep using Watt after it takes effect, you accept the new terms. We may also ask you to tick a box to accept them.
If you don't agree to a material change, cancel before it takes effect. If you're on an annual plan and cancel for that reason, tell us and we'll refund the unused full months.
Changes that aren't material (for example, clearer wording or a new optional feature) take effect when posted. A change to section 19 won't apply to a dispute either of us has already notified to the other.
21. General
- Governing law. These terms are governed by the laws of the State of Colorado and applicable federal law, without regard to conflict-of-law rules.
- Notices. We'll send notices to the email address on your account or show them in Watt. They count as given when sent or shown. Send notices to us at watt@amplifyforadvisors.ai. Legal process may also be sent to our registered agent, or to the mailing address in section 22.
- Assignment. You may not transfer these terms or your account without our written consent. We may transfer them, with notice to you, as part of a merger, acquisition, reorganization or sale of the business or assets that include Watt. These terms bind permitted successors.
- Force majeure. Neither of us is responsible for a delay or failure caused by events beyond reasonable control, such as natural disasters, war, terrorism, labor actions, government action, internet or power failures, cyberattacks, or outages of hosting, AI or other providers. This doesn't excuse paying fees that are due.
- Export controls and sanctions. You'll follow US export control and sanctions laws. You confirm you're not on any US government restricted-party list and won't use or access Watt from a country under comprehensive US sanctions.
- Severability. If any part of these terms can't be enforced, it will be enforced to the maximum extent allowed, and the rest still applies.
- No waiver. If we don't enforce a term right away, we haven't given up the right to enforce it later.
- Independent parties. We're independent contractors. Neither of us can bind the other.
- No third-party beneficiaries. These terms are only for you and us (and, for section 18, the people it protects). No one else, including your clients or your firm unless it's the party accepting these terms, can enforce them.
- Entire agreement. These terms, the privacy policy, and anything they expressly refer to are the whole agreement between you and us about Watt. They replace any earlier agreements or statements about it. If there's a conflict, these terms win, unless we've signed a separate written agreement with your firm that says it overrides them.
- Headings and examples. Headings are for convenience. Words like "including" and "for example" don't limit what comes before them.
